Certificate of Formation

A Delaware limited liability company is formed by filing an Articles of Organization with the Florida Secretary of State and paying a fee of $125. This is comprised of $100 for the articles of organization plus $25 to designate a registered agent. A letter of acknowledgment will be issued free by the Secretary of State. A certified copy of the articles of organization is available for $30 and an optional certificate of status is $5.

The name of the limited liability company must end with the words "Limited Liability Company" or an abbreviation of those words (L.L.C. or LLC).

Qualification of a Foreign LLC in Florida

In order to register to do business in Florida a Application by a Foreign Limited Liability Company for Authorization to Transact Business in Florida must be filed. The fee to file the Certificate is $125 and you will receive a stamped “Filed” copy of your submitted document. A certified copy may be requested for an additional $50. Expedited services are available.

The foreign limited liability company must submit an original certificate of existence, no more than 90 days old, duly authenticated by the official having custody of records in the jurisdiction under the law of which it is organized. A photocopy is not acceptable. If the certificate is in a foreign language, a translation of the certificate under oath of the translator must be submitted.

The name of a limited liability company must be distinguishable on the records of the Florida Department of State. To adopt an alternate name, you must submit a copy of the written consent of the managers or managing members adopting the alternate name. The name of a limited liability company in the state of Florida must end with the words “Limited Liability Company,” The abbreviation “L.L.C.,” or the designation “LLC.”
